Joint Stock Company (S.A.) These Corporations can be open “Open Stock Corporation” (Sociedad Anónima Abierta – S.A.A.) or closed “Private Closed Corporation” (Sociedad Anónima Cerrada – S.A.C.)

One of the important news this year, is that the National Superintendence of Public Registries (Superintendencia Nacional de los Registros Públicos – SUNARP) allows the registration of the incorporation of companies through its online platform SID-SUNARP, in order to speed up the flow of investors interested in establishing a company in Peru.
“To provide that, as of May 25, 2020, the legal documents containing the articles of incorporation of Joint Stock Companies, Private Closed Corporations, Limited Liability Companies and Individual Limited Liability Companies to be registered in the Registry of Legal Persons of the Registry Office of Lima and the Registry Office of Callao, both of the Registry Zone No. IX – Lima Headquarters, are issued with digital signature and are processed exclusively through the SUNARP Digital Intermediation System (SIDSUNARP), pursuant to the Thirteenth Complementary Provision, Transitory and Final Provision of Legislative Decree No. 1049.”
Once the registration is completed at SUNARP, the National Superintendence of Customs and Tax Administration (Superintendencia Nacional de Administración Tributaria – SUNAT) will automatically assign the RUC number of the incorporated company.
Furthermore, the notary must deliver the access request form (if applicable), the SOL password and user code to the legal representative of the company so that he/she can access the Peruvian Tax administration (SUNAT) Online Operations.
These measures facilitate the delivery process of the articles of incorporation of companies by notaries. This disposition will be permanent as a positive consequence of the state of emergency, propelled by the COVID-19.
